These Terms & Conditions ("Terms") govern your access to and use of ActionTiles' website (actiontiles.net), applications, and dashboard services (collectively, the "Service"), operated by ActionTiles ("ActionTiles," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 13 years old (or the minimum age of consent in your jurisdiction) to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account and to keep it up to date.

2. Description of Service

ActionTiles provides a customizable dashboard interface for viewing and controlling connected smart home devices and platforms. Features, integrations, and availability may vary and may change over time, including the addition, modification, or discontinuation of features at our discretion.

3. Amazon Integration (Login with Amazon & Alexa)

The Service may allow you to connect your Amazon account via Login with Amazon and, where enabled, interact with the Service through Amazon Alexa. By using these integrations, you additionally agree to:

• Amazon's own applicable terms and policies governing Login with Amazon and Alexa, including the Amazon.com Conditions of Use and Alexa Terms of Use, where applicable;
• Authorize ActionTiles to receive and use the limited account and device information necessary to provide the connected functionality, as described in our Privacy Policy;
• Acknowledge that voice commands processed through Alexa are subject to Amazon's own data handling and privacy practices in addition to ours.

You may disconnect the Amazon integration at any time through your ActionTiles account settings or your Amazon account settings. ActionTiles is not responsible for the availability, accuracy, or performance of Amazon's services.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to any account, system, or network connected to the Service;
• Interfere with or disrupt the integrity or performance of the Service;
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
• Use the Service to control devices you are not authorized to access or control;
• Use automated means (bots, scrapers) to access the Service without our prior written consent;
• Resell, sublicense, or commercially exploit the Service without our authorization.

5. Third-Party Services & Platforms

The Service integrates with third-party smart home platforms and services (including but not limited to SmartThings and Amazon Alexa). We do not control and are not responsible for the availability, content, security, or practices of third-party services. Your use of any third-party platform is governed by that platform's own terms and privacy policy.

6. Intellectual Property

The Service, including its software, design, graphics, logos, and content (excluding third-party content and your own data), is owned by ActionTiles or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. All rights not expressly granted are reserved.

7. Subscriptions & Fees

Certain features of the Service may require payment of fees. Where applicable, pricing, billing cycles, and cancellation terms will be presented to you at the time of purchase. Fees are non-refundable except as required by law or as otherwise stated at the time of purchase.

8. Suspension & Termination

We may suspend or terminate your access to the Service, in whole or in part, at any time if you violate these Terms or for any other reason at our reasonable discretion, with or without notice. You may stop using the Service and delete your account at any time. Provisions of these Terms that by their nature should survive termination (including Sections 6, 9, 10, 11, and 12) will survive.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT SMART HOME DEVICES CONTROLLED THROUGH THE SERVICE WILL FUNCTION WITHOUT DELAY OR FAILURE. YOU ACKNOWLEDGE THAT SMART HOME AUTOMATION MAY NOT BE SUITABLE FOR LIFE-SAFETY, SECURITY, OR CRITICAL APPLICATIONS, AND YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTIONTILES AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $50 USD. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless ActionTiles from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in St. Johns County, Florida, and you consent to the exclusive personal jurisdiction and venue of those courts, unless otherwise required by applicable consumer protection law.

13. Changes to These Terms

We may modify these Terms from time to time. Material changes will be reflected by an updated "Last Updated" date and, where appropriate, additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ActionTiles regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
• No Waiver: Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
• Assignment: You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
